Corporate Governance

This textbook by M. Kamalov, E. Mannopov and Yu. Ernazarov, published by Tashkent State University of Law and recommended by the Ministry of Higher and Secondary Specialized Education of Uzbekistan, covers a range of conceptually important questions of corporate governance. It examines the theories, principles and methods of corporate governance, international systems and the main governance models, as well as the experience of foreign states in developing corporate governance codes, with special attention to the introduction of corporate governance in Uzbekistan. The chapters deal with shareholders and the general meeting, the supervisory board and its committees, independent directors and remuneration, the executive body, duties and liability of officers and conflicts of interest, information disclosure, external and internal audit, the role of stakeholders and corporate social responsibility, governance in holdings, and corporate governance in banks and other financial institutions. It is intended for university students, researchers and practitioners.
