Law of Transnational Corporations

The textbook covers the legal aspects of the activities of transnational corporations (TNCs) under both international law and the national legislation of the Republic of Uzbekistan. It examines the legal nature and status of TNCs, their place and role in the world economy, the organisational forms of TNC business and the recognition of TNCs in Uzbekistan. Separate chapters are devoted to the legal nature of the investment agreement, franchising as a modern form of doing business, corporate social responsibility, the alienation of a share in the charter fund of an LLC, transfer pricing, the role of offshore zones, the ineffectiveness of the CIS Convention on Transnational Corporations, and the legal aspects of outstaffing (agency labour). Particular attention is paid to the participation of TNCs in investment processes in Uzbekistan and to the national legal framework governing their activities. It is intended for students, master’s students, researchers and practitioners in corporate law and foreign economic activity.
